Class Action Lawsuit Against The Royal Bank of Scotland Group

Bensalem, PA: A securities class action lawsuit has been filed on behalf of all purchasers of the American Depositary Receipts ("ADRs") of The Royal Bank of Scotland Group plc ("Royal Bank" or the "Company") (NYSE:RBS) pursuant to an allegedly false and misleading Registration Statement and Prospectus (collectively, the "Registration Statement") filed on or about April 8, 2005, with the U.S. Securities and Exchange Commission. The class action lawsuit, Case No. 11-CIV-0398, was filed January 19, 2011, in the United States District Court for the Southern District of New York.

Royal Bank, through its subsidiaries, offers banking and financial services to personal, commercial, corporate and institutional customers in the United Kingdom, the United States, and internationally. The Complaint alleges violations of federal securities laws by the Company and certain of its executive officers and/or directors, among others, because the Registration Statement allegedly misrepresented and/or failed to disclose material, adverse information concerning Royal Bank's business, prospects and financial performance.
