On Wednesday, February 25, 2009, an investor in shares of Rochester Fund Municipals filed a proposed securities class action lawsuit in the United States District Court for the Eastern District of New York on behalf of purchasers of certain shares of Rochester Fund Municipals between February 26, 2006 and October 21, 2008 against Rochester Fund Municipals and certain of its Trustees over allegedly violating Federal Securities Laws.

According to the complaint, Rochester Fund Municipals ('Rochester Fund') and certain of its Trustees violated the Securities Act of 1933 by failing to disclose in the Registration Statements through which shares of the Fund were sold that under certain circumstances Trusts which contain Inverse Floaters, such as those employed by the Fund, may be put to the Fund for repayment of principal.

The plaintiff also alleges that on October 21, 2008, Rochester Fund filed a Prospectus Supplement which disclosed the relevant risks associated with the Fund's investment in Inverse Floaters and as a result of these disclosures, as of October 21, 2008, the Fund's shares traded at $12.35 per share, down from $18.00 per share at the beginning of the year, so the lawsuit.
