A shareholder derivative complaint has been filed in the United States District Court, Northern District of California against certain past and present executive officers and directors of Autodesk. The complaint alleges Autodesk violated the Securities Exchange Act of 1934, breached fiduciary duty, aided and abetted, and claims Autodesk was involved in unjust enrichment, rescission, gross mismanagement, and corporate waste. The case claims Autodesk backdated stock options granted from 1996 to 2006 to certain executives for the purpose of increasing the value of the options without disclosing or reporting the additional compensation.
