Allegations:
The complaint alleges that George Aaron and Jonathon Joels devised a fraudulent plan and scheme by which they sought to obtain control of Caprius. In May 1999, they proposed a merger transaction to Caprius' Board of Directors and executive officers.

Caprius completed a merger on June 28, 1999, through which they acquired 45.6% ownership of Caprius -- equivalent to 6,178,978 million shares of Caprius' common stock.

Once they gained control of Caprius, they allegedly breached their fiduciary duties to Caprius and its shareholders by disseminating false and misleading statements concerning Caprius' business, operations, and financial results for fiscal 1999, 2000, 2001, and portions of fiscal 2002.
