In September 2006, the microchip maker agreed to be bought by a private equity consortium for $17.6 million, or $40 a share. Six purported class action petitions were filed by shareholders regarding the proposed acquisition by Blackstone Group. The cases claim Freescale's board breached fiduciary duty because they failed to take steps to maximize shareholder value. The lawsuits are seeking class certification and were filed in the District Court of Travis County, TX.
